Recent Company Law Changes

Amendments to company law have been made by the Small Business, Enterprise and Employment Act 2015, including:

Increased accountability of shadow directors (our corporate clients have received an e-shot on this)

The abolition of bearer shares

Changes to the process by which directors give consent to their appointment

New rules on directors’ disqualification, including the introduction of new grounds for disqualification

The partial suppression of dates of birth on the Companies House register.

There are also a number of legislative changes coming up in 2016, including:

The introduction of a new requirement for companies to hold registers of people with significant control (the PSC register)

The abolition of corporate directors

Reduced filing requirements for companies, with the removal of the requirement for an annual return

A simplified system of maintaining company registers
